The Challenge
As part of its international expansion strategy, Sdui Group entered negotiations to acquire a Spanish EdTech business via a carveout deal. This acquisition represented a strategic opportunity to strengthen its footprint in Southern Europe and Latin America, and integrate new capabilities that complemented its vision of a unified digital education platform.
However, the cross-border nature of the transaction introduced several layers of complexity including technical ambiguity, regulatory considerations (notably GDPR), language barriers, and cultural differences that could impact both valuation and integration outcomes. Limited visibility into the target’s technical landscape also posed a risk of misaligned expectations and unforeseen post-acquisition investments.
